MoviePass Subscription Terms & Conditions of Use

MoviOne, Inc., a Delaware, U.S.A. corporation and its affiliates (collectively, “MoviePass”, “we”, “us” or “our”) have adopted the following terms and conditions of use as amended from time to time (the "Subscription Terms") that govern the overall MoviePass monthly subscription program, currently consisting of various subscription plans that are subject to differences in pricing and credit tiers, location pricing differentials, and usage rules (referred to as a “Subscription Plan”).
Your participation or use of any subscription or related benefits in a Subscription Plan at any time subjects the user ("you," "your," "yours," "Subscriber") to the provisions of these Subscription Terms, as well as the use of our mobile app and/or website that is subject to our General Terms and Conditions of Use (“General Terms”) which can be found at the following link: www.moviepass.com/general-terms-and-conditions.
You agree that your use of a Subscription Plan also subjects you to the General Terms. In particular, please note that the General Terms also apply to a Subscription Plan and are incorporated into these Subscription Terms by this reference which include without limitation, Electronic Communications, Mobile Operating Systems, Use of Service Is At Your Own Risk, Disclaimer of Implied Warranties, Limits on Liability, Indemnity, Mandatory Arbitration With Waiver of Class Action and Jury Trial, and Applicable Law. In the event of any conflict between the Subscription Terms and the General Terms with respect to a Subscription Plan, the Subscription Terms will control.
SUBSCRIPTION TERMS & CONDITIONS

When you subscribe to a Subscription Plan, you hereby agree to these Subscription Terms, as published and subject to periodic update at www.moviepass.com/subscription-terms-and-conditions.

These Subscription Terms replace all previously published information, and you have the responsibility to check for any updates. If these Subscription Terms are updated, any changes will apply to all Subscribers, including Subscribers enrolled before MoviePass posts the updated text, except as may be prohibited by law. We may change these Subscription Terms, in whole or in part, at any time without notice, even though the changes may affect credit utilization and credit accumulation before such changes.

By enrolling for a Subscription Plan, you agree to receive Subscription Plan communications, unless expressly disallowed as a profile preference. For you to utilize the benefits of the MoviePass mobile application and any website operated by us including, but not limited to www.moviepass.com (collectively referred to as the “Service”), you must create a MoviePass user account (a “MoviePass Account”) on the Service. To set up the MoviePass Account, you will be asked to provide an email address and password.

To utilize the benefits of your Subscription Plan, you will need to register for a Subscription Plan by completing the following two (2) steps:
A. Step 1 - Add the following additional Subscriber information to your MoviePass Account:

First and last name of subscriber,

Full mailing street address,

Gender identification of subscriber (including “prefer not to answer” option), and

Date of birth of subscriber.
B. Step 2 – Designate the particular Subscription Plan you desire and enter the appropriate credit card or debit card payment method information required by MoviePass. Upon our acceptance of your payment method, we will automatically activate your Subscription Plan (“Subscription Activation”) and you will receive a virtual MoviePass branded MasterCard© debit card that bears the name associated with your account (“MoviePass Card”). Your virtual MoviePass Card is visible in the MoviePass app when you are signed into your MoviePass Account.

Physical MoviePass Card Option – In the alternative, you may elect to request a physically printed MoviePass branded MasterCard© debit card that bears the name associated with your account that can be shipped to your address on record (additional fees apply). You only have the option to choose either a virtual MoviePass Card or a physically printed MoviePass Card. To receive a physically printed MoviePass Card, you must make this request in writing by contacting MoviePass Customer Service at support@moviepass.com.

You must submit and maintain accurate and current user information in connection with your Subscription Plan. You can change your MoviePass Account information via the MoviePass app or contacting MoviePass Customer Service online at support@moviepass.com.

A Subscription Plan is not valid for individuals residing outside the U.S. A Subscription Plan is only open to residents of the United States who are eighteen (18) years of age or older. If you are a parent or guardian or other person and become aware of information collected from an individual under eighteen (18) years of age, please contact us immediately at support@moviepass.com. Violation of any of the foregoing eligibility requirements may result in immediate cancellation of a Subscription Plan for cause and without a prorated refund.

Subscription Plans - No Cash Refunds and No Gift Cards. Subscription accounts, credits, purchased movie tickets, benefits, special offers, and rewards (i) are nontransferable, (ii) have no cash value and are not gift cards or gift certificates, (iii) may not be offered for resale, and (iv) are not redeemable nor refundable for cash or exhibitor/theater gift cards or gift certificates under any circumstance unless required by law. Credits, rewards, special offers, and other benefits of a Subscription Plan may be taxable to you when required by law. For our refund policy, please visit www.moviepass.com/Refund-Policy.

Subscription Plan cannot be used for profit. Service solely for private, non-profit use. Abuse of a Subscription Plan, including failure to follow these Subscription Terms, may result in cancellation of your MoviePass Account, future disqualification from participation and forfeiture of all credits, rewards and special offers accrued, in addition to other remedies available to us under applicable law. We reserve the right to terminate your MoviePass Account in the event of suspected abuse or fraud of your Subscription Plan. In connection with the enforcement of any provision of these Subscription Terms governing a Subscription Plan, we reserve the right to take appropriate legal action as we deem necessary, and we will be entitled to recover damages, attorneys’ fees and court costs as allowed by applicable law.

We may terminate or alter any or all of the benefits available under your Subscription Plan at any time. Notice and time to redeem credits and rewards will be provided as per applicable law. In the event of our termination of a Subscription Plan, at our election we may maintain Subscription Plan benefits until expiration of the credits, rewards, and/or special offers.

You have the responsibility for the use of your own email address and password to gain access to your MoviePass Account and are responsible for all activity under this email and password. You can request a password reset on the MoviePass app or by contacting us at support@moviepass.com.

From time to time, you may be eligible for sweepstakes, contests or other promotions. Participation in such promotions or events shall be subject to the terms, conditions and rules published by us at the time of such promotion or event, along with any required by applicable state laws.

You have the right to cancel your Subscription Plan at any time by designating “Cancel” on the appropriate option of the MoviePass app or contacting us at support@moviepass.com.

If you cancel your Subscription Plan, your Subscription Plan will terminate effective on the last day of your Subscription Plan’s billing cycle and all remaining credits, rewards, or offers will therein expire and have no value remaining nor be refundable.

The information provided by you for your MoviePass Account and your Subscription Plan is subject to and will be handled according to the MoviePass Privacy Policy, available at: www.moviepass.com/Privacy-Policy. If you have any questions or comments about Privacy Policy, or if you would like to file a request about the data we hold or file a deletion request, please contact us via Chat on the MoviePass app or at support@moviepass.com.

Your MoviePass subscription may start with a free or discounted promotional trial (each, a “Promotional Trial”). The time period (e.g., one week, one month, three months, etc.), restrictions and/or other terms and conditions of your Promotional Trial are as specified upon sign-up and/or in the specific promotional offer. Availability of any Promotional Trial is not guaranteed and, if one is available, is only available on the specific terms of the Promotional Trial then being offered. Except as otherwise expressly stated, Promotional Trials are not available to anyone who is an existing MoviePass Subscriber (including an account holder that received a MoviePass Gift Subscription) during the period during which the Promotional Trial is offered. MoviePass reserves the right, in its absolute discretion, to determine eligibility for any Promotional Trial offered.

MoviePass may obtain a payment method from you upon you signing up for the Promotional Trial. Unless expressly stated otherwise in the Promotional Trial offer, your first payment or un-discounted payment, as applicable, will be charged to your chosen payment method immediately following expiration of the Promotional Trial, and we will continue to bill your chosen payment method for the subscription fee on a recurring basis, unless you cancel in accordance with the instructions for cancellation above. You can cancel your MoviePass Subscription at any time before the end of your Promotional Trial period. We provide notice of the terms of the Promotional Trial at the time you register and you may not receive a separate notice that your Promotional Trial is about to end or has ended, or that your paid MoviePass Subscription has begun. You can access details of your MoviePass Subscription, including the monthly fee and end date of your Promotional Trial period and how to cancel by contacting us at support@moviepass.com or on the MoviePass app.

Supplemental Terms. - From time to time, supplemental terms and conditions (“Supplemental Terms”) may apply to your use of certain aspects or features of the Service, which we will provide to you or post on the Service. Any Supplemental Terms are in addition to and deemed a part of these Subscription Terms, and to the extent there is a conflict between the Supplemental Terms and these Subscription Terms, the Supplemental Terms will prevail with respect to such conflict. If you do not agree to any applicable Supplemental Terms as they may apply to you, in such a case, you may not use the features of the Service to which they apply.
MoviePass ACCOUNT – AUTOMATIC PAYMENT AUTHORIZATION
In order to pay for your Subscription Plan, you must pay us utilizing one of the following payment methods: credit card or debit card (referred to as the “Payment Method”). Upon Subscription Activation, you authorize us to automatically initiate monthly charges/debits to the Payment Method you have designated in connection with your Subscription Plan. You are responsible for updating your Payment Method, including any change in account number, payment card expiration date, or security code. Subsequent charges/debits will be made to the Payment Method on a month-to-month basis until you cancel your Subscription Plan in accordance with the Subscription Terms. After your first charge/debit to your Payment Method, your next billing cycle will commence effective one month after the date of the Subscription Activation.

If a charge/debit is returned unpaid, we will provide notice to you via a banner message on the MoviePass app for you to either update or retry your Payment Method information. We will resubmit returned charges/debits up to the maximum number of times and within the periods permitted by payment network rules. If resubmissions are accepted, we will renew your Subscription Plan. If one or more resubmissions are rejected or your Subscription Plan monthly fee continues to remain unpaid, we reserve the right, at our sole discretion, to terminate your Subscription Plan and all credits on your Subscription Plan will automatically expire.

MoviePass will not charge you a subscription fee for any period in which you have redeemed a free Promotional Trial of a MoviePass Subscription. In the event that MoviePass offers a promotional discount on subscription fees applicable to you, if you have properly redeemed such a promotion, MoviePass may reduce your subscription fee by the appropriate amount for the relevant period
SUBSCRIPTION PLAN SERVICES
A Subscription Plan enables you to reserve a movie ticket on the Service for viewing of standard 2D screens only within the limits of the Subscription Plan you purchased. Monthly subscription fees for a Subscription Plan range from $10 to $40 depending on your plan preferences and plan location, and entitle you to credits, rewards, special offers, and other Subscription Plan benefits.

Beta Testing – You acknowledge and agree that the Service is in Beta Testing by us and that the following plans and credit values may vary based on time and location, and are subject to change without notice in the future as we continue our Beta Testing.

MoviePass Credits - Credits are units of exchange that a Subscriber generates on the Service through payment of a monthly fee as determined by the level of subscription plan set forth in the Service and signed on by you (“MoviePass Credits”). You agree that MoviePass Credits may not be redeemed nor refunded for cash or gift cards from us or any of our affiliates or partners.

Accumulation and Expiration of MoviePass Credits - Your MoviePass Credits will expire after a period of two (2) consecutive calendar months. For example, your MoviePass Credits accumulated in the first month of issuance will roll over into the second month and subsequently expire at the commencement of the third month. Notwithstanding the foregoing, your MoviePass Credits are subject to the following limitation: your Subscription Plan will accumulate MoviePass Credits on a monthly basis up to an amount not to exceed two times (2X) the total number of MoviePass Credits earned per month per Subscription Plan level (“Maximum Rollover”).

You acknowledge and agree that we are not responsible for the utilization of your Subscription Plan and/or the use of your MoviePass Credits from an account that has been lost, stolen, or otherwise used without your permission.

Movie Ticket Purchase – Your Subscription Plan is a monthly movie ticket subscription service that entitles you to purchase movie tickets at theater locations in the U.S. that are MoviePass eTicket partners or theater locations that accept a MasterCard© debit card as a form of payment. You may purchase no more than one (1) movie ticket per day using your Subscription Plan for admission to any regularly scheduled 2D screening showtime displayed on the Service.
Whether you choose a movie by theater location or movie title, you have the following options when you would like to purchase a movie ticket using your Subscription Plan:

eTicket (applicable for theater locations designated with a blue “eTicket” icon) - Select a movie or theater location that is identified as an “eTicket” theater. Choose a particular showtime at that eTicket theater, select a seat, and complete the purchase process on the MoviePass app. Each movie showtime will designate the number of MoviePass Credits required to purchase a movie ticket for that particular showtime.

Card (applicable for theater locations designated with a red “Card” icon) - Select a movie or theater location that is identified as a “Card” theater.

To Purchase Ticket “At Theater” – Select “At Theater” option and click the “Unlock Card to Purchase Ticket” tab. You now have a reservation on the MoviePass app under your MoviePass account to purchase one (1) 2D movie ticket for the next two (2) hours. After this time limitation, your reservation with us will automatically expire.

To Purchase Ticket “Online”. Select “Online” option and click the “Unlock Card to Purchase Ticket” tab. You now have a reservation on the MoviePass app under your MoviePass Account to purchase one (1) 2D movie ticket online for the next two (2) hours. During this reservation period, we release the appropriate number of MoviePass credits for you to make your movie ticket purchase utilizing your virtual or physical MoviePass Card number. After this time limitation, your reservation with us will automatically expire.

Other Benefits. From time to time, we may offer additional features, benefits, and events to you as follows:

We may from time to time, at our sole discretion, sponsor sweepstakes or contests. Each sweepstakes or contest will have its own set of terms and conditions and our employees and family members are not eligible to win.

We may from time to time, at our sole discretion, host a special MoviePass-only movie screening at select theatres in certain markets. To take part when a screening becomes available, you must opt-in to receive notifications via email, mobile push notification and/or SMS. Standard message and data rates may apply. If selected to participate, you will be notified of these screenings via email, mobile push notification and/or SMS.

We may from time to time, at our sole discretion, provide you with credit promotions. Each promotion will have its own set of terms and conditions and may require you to opt into (register for) the promotion. You will be notified of the promotion via email, mobile push notification and/or SMS. Standard message and data rates may apply.

We may change the Service’s technology or algorithms to allow you to transfer MoviePass Credits to third party users of the Service and/or charitable organizations designated by us.

Movie Ticket Purchase Refunds. You agree that movie tickets purchased through your Subscription Plan may not be redeemed nor refunded for cash, gift cards, or gift certificates from us or any of our affiliates or partners. ACKNOWLEDGMENT
These Subscription Terms represent the entire understanding between us and you with respect to the Service and supersede any other agreements, statements, or representations. Headings used in these Subscription Terms are for reference only and shall not affect the meaning of any other terms.
USE OF DATA
We will be collecting your personal data as part of the Service’s registration and activation process. By registering with the Service, you agree to our collection and usage of your personal information and you acknowledge that you have read and accepted our MoviePass Privacy Policy that can be found at www.moviepass.com/Privacy-Policy.
CHANGES TO THESE SUBSCRIPTION TERMS.
We may change your Subscription Plan pricing, rules, regulations, and/or benefits in whole or in part, at any time with or without notice, even though changes may affect some or all of the benefits of your Subscription Plan. Any changes to your Subscription Plan will apply as of the effective date stated on the changed terms. Please read the General Terms and these Subscription Terms carefully and periodically check online or on the MoviePass app from time to time to review the current versions of each, as they are legally binding and govern the relationship between you and us with respect to the Service.
